These Terms of Service ("Terms") govern your use of comparsa.app, the Comparsa mobile application, and related marketplace services (together, the "Service"). The Service is operated by Escalate Enterprises LLC, doing business as Comparsa ("Comparsa," "we," "us," or "our"). By using the Service, creating an account, joining the waitlist, or requesting a booking, you agree to these Terms. If you do not agree, do not use the Service.
Eligibility and Accounts
You must be at least 18 years old and legally able to enter a contract to use the Service. You must provide accurate information, keep your credentials secure, and promptly notify us of unauthorized account use. You are responsible for activity under your account. You may not transfer your account or use the Service for another person without authorization.
The Marketplace
Comparsa connects people planning events ("Clients") with independent creative professionals such as DJs, photographers, videographers, and musicians ("Creators"). Creators, not Comparsa, provide the booked creative services and are responsible for their descriptions, qualifications, permits, insurance, equipment, conduct, and performance.
Creators use the marketplace as independent businesses. Nothing in these Terms creates an employment, agency, partnership, joint-venture, or franchise relationship between Comparsa and a Creator. Comparsa facilitates discovery, booking, communications, and payment but does not control how a Creator performs the booked services.
Website and Waitlist
Before public marketplace launch, website profiles, activity, statistics, and other product examples may be illustrative mockups. They do not guarantee specific Creators, features, prices, availability, launch timing, or results.
Joining the waitlist does not reserve a booking, guarantee admission or placement, or create an employment or partnership offer. We may contact you about launch, early access, or the founding Creator program. You may leave the waitlist at any time by following the instructions in an email or contacting support@comparsa.app.
Beta period. The Service is currently offered as a limited pre-launch beta. Features, fees, and these Terms may change before general availability, and we will post updates on this page as described in the Changes section. Each booking is governed by the Terms and the pricing policy and amounts disclosed at the time of that booking; a later change does not recalculate or convert an existing booking.
Pricing Policies, Authorization, Capture, and Payouts
Every booking keeps the pricing policy and exact amounts accepted for that booking. A later pricing change does not recalculate or convert an existing booking.
New all-in bookings
A new generation-two booking uses the all-in pricing policy identified in the booking record as all_in_v1. The Creator's displayed Service Price is the Client-facing price for the booked service. Comparsa adds no mandatory Client platform fee to that Service Price. Taxes, tips, and optional additions shown at checkout may still change the final amount. Comparsa deducts a 10% Standard Creator commission from the service amount and commissionable optional additions.
For example, before taxes, tips, or optional additions, a $1,500 Service Price authorizes $1,500 on the Client's payment method and produces an expected $1,350 Creator balance transfer. A cancellation, refund, dispute, adjustment, or payment failure can change the final amount.
Supported legacy bookings
A booking created through a supported generation-one checkout uses the frozen legacy pricing policy identified as legacy_15_client_3_creator_v1. For that booking, Comparsa adds a 15% Client service fee to the Creator Subtotal and deducts a 3% Creator fee from the Creator Subtotal. For example, before taxes, tips, or optional additions, a $1,500 Creator Subtotal authorizes $1,725 and produces an expected $1,455 Creator balance transfer.
No retirement date for supported generation-one checkout has been approved. If Comparsa later stops accepting new legacy booking requests, previously created bookings will retain their recorded pricing policy, amounts, and applicable accepted terms.
Payment stages
When a Client submits a booking request, Stripe places a payment authorization, which is a temporary hold rather than a completed charge. If the Creator accepts while the authorization remains valid, Comparsa captures the authorized amount. Capture charges the Client and places the funds in the platform's Stripe balance. If the Creator declines, the Client cancels before capture, or the request expires, Comparsa requests release of the authorization. A request that receives no response expires after 6 days. Financial institutions control when a released hold disappears.
After a completed event, an eligible Creator payment is scheduled for a balance transfer to the Creator's connected Stripe account at approximately 48 hours after the event ends. An open cancellation, refund, no-show report, dispute, payment case, payout hold, or incomplete payout account may delay or prevent that transfer. A balance transfer is separate from Stripe's later bank payout from the connected account. Stripe and the Creator's financial institution control bank-payout timing.
Stripe processes payments and payouts. Comparsa does not receive or store full card or bank-account numbers. Creators must complete Stripe onboarding and are responsible for their own taxes, licenses, expenses, and legally required reporting. Stripe may issue applicable tax forms.
Cancellations, Refunds, No-Shows, and Disputes
Before capture, cancellation ordinarily releases the payment authorization rather than creating a refund. After an accepted booking has been captured, the following frozen cancellation schedule applies, measured from the scheduled event start:
- More than 7 days: 100% of the service amount is refunded;
- 48 hours through 7 days: 50% of the service amount is refunded; or
- Less than 48 hours: none of the service amount is refunded.
For an all-in booking, the mandatory Client platform fee is $0. The applicable refund is therefore the percentage above of the Service Price, subject to taxes, tips, optional additions, prior adjustments, and the amount actually captured.
For a legacy booking, the applicable refund is the percentage above of the Creator Subtotal. The frozen 15% Client service fee is retained on a Client-initiated cancellation. The frozen 3% Creator fee is applied to any Creator amount retained under the cancellation schedule.
If the Creator cancels an accepted booking, the Client receives a full refund of the amount captured for the booking, including any legacy Client service fee. Refund and authorization-release timing depends on Stripe and the Client's financial institution.
Dispute review. If you think a booking wasn't delivered as agreed, you can open a dispute in the app within 2 days of the booking. We aim to review disputes and respond within 3 to 5 business days. Timing can vary depending on how complex the issue is and how quickly people respond. Comparsa does not promise a specific outcome. Card disputes and chargebacks follow the rules of the card networks and our payment processor (Stripe), and nothing here limits your rights under those rules or the law. Report a Creator no-show or material service dispute in the app or to support@comparsa.app within 48 hours after the scheduled event ends and include available supporting information. A timely report may place or continue a payout hold while the matter is reviewed.
User Content and License
You retain ownership of content you submit, including profiles, portfolio media, messages, and reviews. You grant Comparsa a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt for technical display, display, and distribute that content as needed to operate, secure, and promote the Service. This license ends when the content is deleted from our systems, except to the extent content was already shared with others, retained as described in our Privacy Policy, or incorporated into material you authorized us to use outside the Service.
You represent that you own or have all rights needed for content you submit and that our permitted use will not violate another person's rights or law.
Acceptable Use and Safety
You may not use the Service to:
- violate law or another person's intellectual-property, privacy, publicity, or other rights;
- post illegal, fraudulent, deceptive, harassing, hateful, sexually explicit, or dangerous content;
- impersonate someone, misrepresent qualifications, manipulate reviews, or submit false booking or payment information;
- harass, threaten, exploit, or endanger another person;
- bypass Service fees or move a Comparsa-introduced booking off-platform;
- interfere with security, scrape the Service, introduce malicious code, or access data without permission; or
- use the Service for spam or unauthorized commercial solicitation.
You may report content or users and block users in the app. Comparsa may investigate, remove content, limit features, suspend or terminate accounts, or cooperate with authorities when we reasonably believe it is necessary to protect users, the Service, or others.
Reviews
Reviews must concern a genuine completed booking and reflect the reviewer's honest experience. Comparsa may remove reviews that are fraudulent, irrelevant, incentivized without disclosure, or otherwise violate these Terms. We do not promise that every review will be accurate.
Copyright Complaints
If you believe content on the Service infringes your copyright, send a notice to support@comparsa.app identifying the copyrighted work, the allegedly infringing material and its location, your contact information, a statement of good-faith belief, a statement under penalty of perjury that the notice is accurate and you are authorized to act, and your physical or electronic signature. We may remove content and terminate repeat infringers where appropriate.

Account Suspension and Deletion
You may request account deletion from the Account tab in the app, under Settings. Deletion is unavailable while you have a requested or accepted booking or, as a Creator, a payout still owed. Resolve the booking or wait for the payout before deleting. The current deletion process retains certain completed booking and transaction records, messages, reviews, and safety or legal records as described in the Privacy Policy and as permitted or required by law.
Comparsa may suspend or terminate access for violation of these Terms, risk to users or the Service, nonpayment, fraud, or legal requirements. Provisions that by their nature should survive termination, including payment obligations, licenses for retained content, disclaimers, liability limitations, and dispute terms, will survive.
Third-Party Services
The Service relies on third-party services, including Stripe, Google Firebase, Google Cloud, Cloudflare, and Resend. Their terms and privacy policies may apply to their services. Comparsa is not responsible for third-party services outside our control.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." COMPARSA DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. COMPARSA DOES NOT GUARANTEE THE IDENTITY, QUALIFICATIONS, SAFETY, LEGALITY, QUALITY, AVAILABILITY, OR PERFORMANCE OF A CLIENT OR CREATOR, THAT AN EVENT WILL OCCUR, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPARSA AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, GOODWILL, OR OPPORTUNITIES, ARISING FROM THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO COMPARSA DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100. THESE LIMITATIONS DO NOT APPLY WHERE PROHIBITED BY LAW.
Governing Law
California law governs these Terms, without regard to conflict-of-law rules. Any dispute not subject to a legally required alternative process may be brought in a court with lawful jurisdiction. Nothing in these Terms prevents either party from pursuing a claim in small-claims court where eligible.
Changes
We may update these Terms as the Service evolves. We will post the updated version with a new "Last updated" date and provide any additional notice required by law. Changes apply prospectively from their effective date. Your continued use of the Service after revised Terms take effect constitutes acceptance where permitted by law.
General
If a provision is unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; Comparsa may assign them in connection with a merger, reorganization, financing, or sale of assets. These Terms and incorporated policies are the entire agreement about the Service unless separate written terms apply to a specific feature.
